Announcement Detail<\/td>\nWith reference to Tabuk Agricultural Development Company\u2019s announcement published on the Saudi Exchange website on 06\/09\/2026 corresponding to 24\/03\/1448H regarding the invitation to its valued shareholders to attend the Extraordinary General Assembly Meeting including the Company\u2019s capital reduction (Third Meeting).<\/p>\n

The Company would like to remind its valued shareholders that the Extraordinary General Assembly Meeting (Third Meeting) is scheduled to be held, God willing, at 6:30 p.m. on Sunday, 27 September 2026, corresponding to 16 Rabi\u2019 Al-Thani 1448H, in person at the Guest House at the Company\u2019s Project in Tabuk City \u2013 Halat Ammar Road, as well as via modern technology means through Tadawulaty Services.<\/p>\n

The Company would also like to remind its valued shareholders that the Third Meeting shall be valid regardless of the number of shares represented therein, in accordance with Article (29) of the Company\u2019s Bylaws.<\/p>\n

The Company further reminds shareholders registered with Tadawulaty Services that they will be able to vote remotely and electronically on the General Assembly agenda item. Electronic voting will commence at 1:00 a.m. on Wednesday, 23 September 2026, corresponding to 12 Rabi\u2019 Al-Thani 1448H, and will continue until the end of the General Assembly Meeting.<\/p>\n

Registration and voting through Tadawulaty Services will be available and free of charge to all shareholders. (Attached is the E-voting Service User Manual).<\/p>\n

The Company invites its valued shareholders to participate and vote on the General Assembly agenda item relating to the Board of Directors\u2019 recommendation to reduce the Company\u2019s capital for the purpose of restructuring the capital and offsetting the accumulated losses, in accordance with the details and attachments set out in the previous invitation announcement.<\/p>\n
