Reminder Announcement from Tabuk Agricultural Development Company to its Shareholders to Attend the Extraordinary General Assembly Meeting Including the Company’s Capital Reduction (Third Meeting)

The Company would like to remind its valued shareholders that the Extraordinary General Assembly Meeting (Third Meeting) is scheduled to be held, God willing, at 6:30 p.m. on Sunday, 27 September 2026, corresponding to 16 Rabi’ Al-Thani 1448H, in person at the Guest House at the Company’s Project in Tabuk City – Halat Ammar Road, as well as via modern technology means through Tadawulaty Services.

The Company would also like to remind its valued shareholders that the Third Meeting shall be valid regardless of the number of shares represented therein, in accordance with Article (29) of the Company’s Bylaws.

The Company further reminds shareholders registered with Tadawulaty Services that they will be able to vote remotely and electronically on the General Assembly agenda item. Electronic voting will commence at 1:00 a.m. on Wednesday, 23 September 2026, corresponding to 12 Rabi’ Al-Thani 1448H, and will continue until the end of the General Assembly Meeting.

Registration and voting through Tadawulaty Services will be available and free of charge to all shareholders. (Attached is the E-voting Service User Manual).

The Company invites its valued shareholders to participate and vote on the General Assembly agenda item relating to the Board of Directors’ recommendation to reduce the Company’s capital for the purpose of restructuring the capital and offsetting the accumulated losses, in accordance with the details and attachments set out in the previous invitation announcement.
